Client Projects

For custom development projects, unless otherwise specified in writing:

  • You retain ownership of your business logic and content
  • You receive a license to use the code we develop for you
  • We may retain the right to use generic, non-proprietary code components
  • Specific ownership terms will be detailed in project agreements

Payment Terms

  • Payment terms will be specified in individual project agreements
  • Invoices are typically due within 30 days unless otherwise agreed
  • Late payments may incur interest charges
  • We reserve the right to suspend services for non-payment
  • Refund policies are determined on a case-by-case basis

Service Delivery

Timelines

We strive to meet agreed-upon timelines, but project schedules are estimates. Delays may occur due to unforeseen circumstances, scope changes, or client-side delays.

Warranties

We warrant that services will be performed in a professional manner consistent with industry standards. However, we provide software and services "as is" without warranties of merchantability or fitness for a particular purpose unless specified in writing.

Limitation of Liability

To the maximum extent permitted by law, Brudda's Industries shall not be liable for:

  • Indirect, incidental, special, or consequential damages
  • Loss of profits, revenue, data, or business opportunities
  • Damages exceeding the amount paid for the specific service
  • Issues caused by third-party services or software
  • Events beyond our reasonable control (force majeure)

Confidentiality

Both parties agree to maintain the confidentiality of proprietary information shared during the course of the business relationship. This obligation continues even after the termination of services.

Third-Party Services

Our services may integrate with or rely on third-party platforms and tools. We are not responsible for the availability, functionality, or terms of third-party services. Your use of third-party services is subject to their own terms and conditions.

Termination

Either party may terminate services under the following conditions:

  • By mutual written agreement
  • For breach of terms (with notice and opportunity to cure)
  • For non-payment of invoices
  • Upon completion of agreed-upon services

Upon termination, you must pay for all services rendered up to the termination date.

Modifications to Terms

We reserve the right to modify these terms at any time. Changes will be effective immediately upon posting to our website. Continued use of our services after changes constitutes acceptance of the modified terms.

Governing Law

These terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles. Any disputes shall be resolved through good-faith negotiation or, if necessary, through arbitration or courts of appropriate jurisdiction.

Severability

Entire Agreement

These terms, together with any specific project agreements, constitute the entire agreement between you and Brudda's Industries regarding the use of our services.
